01The agreement
These terms are an agreement between you and Pexally (“Pexally”, “we”, “us”), the company that makes Flow. They apply when you create an account, use a Flow workspace, or sell, invoice or take payments through Flow. If you use Flow for a business, you agree on behalf of that business and confirm you are allowed to.
If you do not agree, do not use Flow. Our Privacy Policy explains how we handle personal information and forms part of these terms.
02Your account and workspace
- You sign in with a link sent to your email address. Keep that inbox secure — whoever controls it controls the account.
- Each account may own one workspace. You can invite other people into it according to your plan; you are responsible for what they do there and for the roles you give them.
- You must be at least 18 years old and able to form a binding contract, and the information you give us — including identity details we ask for before paying you — must be true and kept up to date.
- You must not use another person’s account, share your password, or try to reach parts of Flow or other workspaces you have not been given.
03The free trial, plans and paying for Flow
A new workspace starts on a free trial of 15 days. The trial’s features and limits are shown on our pricing and inside your workspace, and may differ from paid plans.
- After the trial you choose a plan, paid monthly or yearly in US dollars. You can pay from your Flow wallet, by card or PayPal, or by the transfer methods offered in your workspace. Prices shown before you pay are the prices you pay.
- A plan runs for the period paid. If it is not renewed, features your plan does not include are paused after a short grace period. Finance and your Wallet stay open, so you can always see and withdraw money you have earned, unless we must hold it under section 9 or the law.
- We may change plan prices and features for the future. A price change never re-bills a period you have already paid for, and we will tell you before a change affects your next renewal.
- Plan payments are not refundable except where the law requires, or where we choose to at our discretion.
04Pexally as merchant of record
When a buyer pays on a Pexally checkout, Pexally is the seller of record for that sale. The buyer pays Pexally, their card or PayPal statement names Pexally, and Pexally deals with the payment processors. You supply the product or service to us, and we pay you what you have earned under section 7. This applies to product checkouts, invoices, quote deposits, bookings and repeating plans taken through Flow.
Because we are the seller, we decide what may be sold through our checkout. You grant us the rights we need to resell, deliver and describe what you list, and you remain responsible for delivering it exactly as described.
Your own payment keys. On plans that allow it, you may connect your own Stripe or PayPal account. Payments taken on your own keys are made to you as the seller; Pexally is not the merchant of record for them, and they are governed by your agreement with that processor.
05What you can sell
Flow is for digital products and services only — work you deliver, consultations, downloads, software licences, courses and memberships. Nothing may be shipped, and buyers are never asked for a shipping address.
You must not list, sell or invoice for anything that is:
- a physical good, or anything that requires shipping;
- gambling, betting, lotteries, casino or games of chance; adult sexual content or services; weapons, drugs or drug paraphernalia;
- financial products, investment schemes, cryptocurrency trading or money transmission, or anything designed to move money rather than sell a product;
- counterfeit, pirated or infringing, or that you do not have the right to sell;
- misleading, fraudulent or deceptive, including fake reviews, “get rich” schemes and misrepresented outcomes;
- unlawful where you or the buyer are, or sanctioned under applicable law.
Every product and subscription listing is reviewed by Pexally before it goes on sale, and changing a live listing sends it back for review. Listings are screened and may be reported by buyers. We may refuse, take down or pause any listing, and restrict or freeze a workspace, where we believe these terms or the law are being broken.
06Fees
- For each payment taken on a Pexally checkout we keep a fee, shown on our pricing and in your workspace. The rate that applies is saved with the sale when it is made; a later change to our rates never changes a sale you have already made.
- Payment processing costs are included in the way your share is calculated and are shown in Finance for each payment.
- Our fees are not returned when a payment is refunded or lost in a dispute, except where a dispute fee is returned under section 8.
- You are responsible for your own income taxes and business registrations. Where the law requires the seller of record to collect sales tax or VAT on a sale, Pexally does so.
07Your wallet and payouts
- Your share of each payment is recorded in your wallet in US dollars. It first waits in clearing for the period your plan sets, then becomes available to withdraw. Money in your wallet is an amount Pexally owes you; it is not a bank deposit and earns no interest.
- You can ask for a payout of available money to a bank account in your name, once it reaches the minimum your plan sets. Every payout is reviewed by Pexally before it is sent, and we may ask for identity or business information first.
- A bank account you add or change waits 48 hours before money can be sent to it. This protects you if someone else gets into your account.
- We pay in US dollars. Any local-currency figure we show is an estimate; your bank or transfer provider may convert the amount and charge its own fees.
- If a refund or chargeback arrives after you have been paid, your balance may become negative. You agree that we may recover that amount from future earnings in your wallet, or ask you to repay it.
08Refunds and disputes
- You may refund a payment, in full or in part, from your workspace. The refunded amount is taken from your balance; our fee is not returned.
- You must honour the refund policy you show buyers, and treat buyers fairly. We may refund a buyer ourselves where the law requires, where a product was not delivered as described, or to prevent a dispute.
- When a buyer disputes a payment with their bank, we answer it as the seller of record using the delivery evidence Flow keeps for each sale and anything you provide. While it is open, the disputed amount and a dispute fee are held in your wallet. If the dispute is decided in your favour the hold is released and the fee returned; if not, the amount and the fee are deducted.
09Holds, suspension and ending
We may hold payouts, freeze a wallet, restrict a workspace or close an account where we reasonably suspect fraud, a breach of these terms, a risk of losses from refunds or disputes, or where the law or a payment partner requires it. Where we can, we will tell you why and what you can do.
You can stop using Flow at any time. When an account closes, money that is owed to you and not needed to cover refunds, disputes or amounts you owe us will be paid to you, subject to our checks. Records of payments are kept as the law requires and cannot be deleted before then.
10Your content and your clients' data
What you put into Flow — your clients, projects, files, messages, emails and listings — stays yours. You give us permission to host, process and display it only as needed to run Flow for you and the people you share it with.
For personal information about your own clients and contacts, you decide why and how it is used and we process it on your behalf. You must have a lawful basis to collect it, and permission before sending anybody marketing email. Every campaign sent through Flow carries an unsubscribe link, and people who unsubscribe or report spam are not emailed again.
11Using Flow fairly
- Do not break the law, infringe others’ rights, or harass anyone.
- Do not send spam, buy or scrape email lists, or use Flow to send email to people who have not agreed to hear from you.
- Do not probe, overload or attack Flow, get around its limits or security, or access it by automated means except through our published API.
- Do not upload malware or use Flow to host or link to harmful content.
12Our service and its limits
We work to keep Flow available and your data safe, and we improve and change it over time. Flow is provided “as is” and “as available”. To the extent the law allows, we do not promise it will be uninterrupted or error-free, or that it will meet every need you have.
To the extent the law allows, Pexally is not liable for indirect or consequential losses, lost profits or lost data, and our total liability to you for any claim is limited to the greater of the fees you paid us in the twelve months before the claim and one hundred US dollars. Nothing here limits liability that cannot be limited by law, or our obligation to pay you money you have earned.
You agree to cover Pexally’s reasonable losses arising from what you sell, from your breach of these terms, or from your breach of the law or anyone’s rights.
13Changes, law and disputes with us
We may update these terms. We will change the date at the top and, for changes that matter, tell you by email or in your workspace before they take effect. Continuing to use Flow after that means you accept them.
These terms are governed by the laws of the State of Oregon, United States, without regard to its conflict-of-law rules. Before bringing any claim, please write to us so we can try to resolve it; courts in Oregon will have jurisdiction over any dispute we cannot resolve, unless the law where you live gives you a right to bring it there.
